Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ProofDock API, dashboard, and website (together, the “Service”). By creating an account or making an authenticated request, you agree to these Terms.

This is an initial draft. We expect to refine it as the product matures and as we add new tiers, regions, and data sources. Please review with your own counsel before relying on it for compliance purposes.

1. Eligibility and account

You must be at least 18 years old, or the age of majority in your jurisdiction, to create a ProofDock account. You agree to provide accurate information and to keep your contact email up to date.

You are responsible for activity that occurs under your account, including all calls made with your API keys. If you believe a key has been compromised, rotate it immediately from the dashboard. We may rotate or revoke a key if we have reason to believe it has been exposed.

2. Acceptable use

You agree not to:

  • Use the Service to violate any applicable law, regulation, or third-party right.
  • Attempt to circumvent rate limits, credit metering, or authentication.
  • Resell, sublicense, or redistribute raw data feeds in a way that competes with ProofDock as a data API.
  • Use the Service to mislead end users about the source, recency, or authority of the underlying data — for example, by stripping or altering the provenance information we return with each record.
  • Conduct security testing, scraping, or automated probing without prior written agreement.
  • Submit content or queries that infringe intellectual-property rights or violate privacy law.

We may suspend or terminate accounts that abuse the Service, and we may report unlawful activity to authorities where required.

3. Credits, recharges, and billing

ProofDock meters usage in credits. Each gateway endpoint has a credit cost; successful calls deduct credits, while calls that fail due to upstream issues or timeouts aren’t charged. Calls that fail due to malformed parameters or missing resources are charged normally, since the request was successfully delivered.

  • Daily allowance. A free credit allowance is granted on your first authenticated request each day. Unused free credits do not roll over.
  • Recharges. Paid credits added through an approved recharge do not expire.
  • Refunds. Recharges are non-refundable once credits are added to your balance, except where required by law. We do not refund consumed credits.
  • Currency. Prices are quoted in US dollars unless otherwise noted.

We reserve the right to change credit costs, pricing tiers, and free allowances. Material changes affecting paid recharges will be announced before they take effect.

4. Service availability

We aim to operate the Service reliably, but we do not currently offer a service-level agreement on free or self-serve paid tiers. We perform planned maintenance from time to time and may interrupt the Service to address security or stability issues. Enterprise customers may negotiate a separate SLA.

5. Data and intellectual property

The data delivered through the Service is sourced from authoritative public sources (regulators, exchanges, courts, licensed market data providers). Each record carries citation-ready provenance. You agree to:

  • Preserve this provenance information when surfacing the data to your end users where reasonable.
  • Comply with the terms of any underlying provider that we identify in the documentation.
  • Not claim ownership of the underlying data itself.

You retain rights to your own queries and to derivative works you build on top of the Service. ProofDock retains all rights in the gateway, dashboard, documentation, branding, and software.

6. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement. The data we deliver is for informational purposes; it is not investment advice, legal advice, or a substitute for professional judgment. You are responsible for verifying any record you act upon.

7. Limitation of liability

To the maximum extent permitted by law, ProofDock will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for direct damages will not exceed the amount you paid to ProofDock in the twelve (12) months preceding the event giving rise to the claim, or USD 100, whichever is greater.

8. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that puts the platform, other users, or upstream providers at risk. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, governing law) will survive.

9. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. Material changes to these Terms will be announced to account holders by email and reflected by an updated “Updated” date at the top of this page. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of the jurisdiction in which ProofDock operates, without regard to conflict-of-laws principles. We will publish a specific governing-law and venue clause as the company is formally incorporated.
